DIGITAL IMAGE LICENSE AGREEMENT

This Digital Image License Agreement ("Agreement") is entered into as of [Date] by and between:

Licensor: TO The Bar Limited, operating the website gallery.to-thebar.com, with an address at 254 Demesne Road, Wallington, Surrey, SM68EL ("Licensor" or "Seller").

Licensee: The individual or entity purchasing the digital download or print ("Licensee" or "Customer").

1. License Grant

Licensor grants Licensee a non-exclusive, non-transferable, worldwide license to use the digital image(s) or print(s) purchased from [Your Website URL] ("Licensed Product(s)") for the following purposes:

- Personal use (e.g., home decoration, personal gifts).

- Commercial use (Only on agreement with the Licensor).

2. Social Media Use

Licensee is permitted to use the Licensed Product(s) on social media platforms (e.g., Instagram, Facebook, Twitter) as follows:

- Licensee may post the Licensed Product(s) as many times as they like.

- Licensee must either:

a) Credit Licensor in the caption or description (e.g., "Photo by TO The Bar"), or

b) Retain any watermark or branding included on the Licensed Product(s).

- Licensee may not alter, remove, or obscure any watermark or branding without prior written consent from Licensor.

3. Restrictions

Licensee agrees not to:

- Resell, redistribute, sublicense, or otherwise transfer the Licensed Product(s) to any third party.

- Use the Licensed Product(s) for any unlawful purpose or in a way that violates the rights of others.

- Alter, modify, or create derivative works of the Licensed Product(s) without prior written consent from Licensor.

- Use the Licensed Product(s) in a manner that competes with Licensor's business.

4. Ownership

Licensor retains all ownership, copyright, and intellectual property rights to the Licensed Product(s). This Agreement does not transfer ownership of the Licensed Product(s) to Licensee.

5. Fees

In consideration for the rights granted herein, Licensee agrees to pay the purchase price as listed on gallery.to-thebar.com at the time of purchase.

6. Refunds and Returns

Due to the nature of digital downloads and custom prints, all sales are final. No refunds or returns will be issued unless the Licensed Product(s) are defective or not as described.

7. Termination

Licensor may terminate this Agreement if Licensee breaches any terms herein. Upon termination, Licensee must cease all use of the Licensed Product(s) and destroy any copies.

8. Warranty and Liability

Licensor warrants that they have the right to license the Licensed Product(s). Licensor is not liable for any indirect, incidental, or consequential damages arising from the use of the Licensed Product(s).

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or representations.

By purchasing and downloading or receiving the Licensed Product(s), Licensee agrees to the terms of this Agreement.
